1. Acceptance of Terms

By accessing and using the services of amniotvtil B.V. (Registration Number: 50397284, VAT: NL868409731B01), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Description of Services

amniotvtil provides professional tax advisory and consultancy services including but not limited to:

• Tax planning and strategy development
• Tax compliance and filing services
• Business tax advisory
• Personal tax services
• International tax consulting
• Tax audit support and representation

3. Client Obligations

As a client of amniotvtil, you agree to:

• Provide accurate, complete, and timely information necessary for service delivery
• Cooperate fully in the provision of services
• Pay all fees and charges as agreed upon
• Notify us promptly of any changes that may affect our services
• Comply with all applicable laws and regulations
• Maintain confidentiality of any proprietary information shared

4. Fees and Payment

Service fees are determined based on the scope of work, complexity, and time required. Payment terms will be specified in individual service agreements. Unless otherwise agreed, payment is due within 30 days of invoice date. Late payment may result in suspension of services and interest charges.

5. Intellectual Property

All intellectual property rights in our methodologies, processes, and materials remain the property of amniotvtil. Clients retain ownership of their data and information provided to us. Our advice and recommendations are provided for the specific client and circumstances and may not be used by third parties without our written consent.

6. Confidentiality

We maintain strict confidentiality regarding all client information and affairs. This obligation continues beyond the termination of our professional relationship. We may only disclose client information when required by law or with explicit client consent.

7. Professional Standards

Our services are provided in accordance with applicable professional standards and Dutch law. We maintain professional indemnity insurance and adhere to continuing education requirements to ensure service quality.

8. Limitation of Liability

To the maximum extent permitted by law, amniotvtil's liability for any claims arising from our services is limited to the fees paid for the specific service giving rise to the claim. We shall not be liable for any indirect, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data.

We do not guarantee specific outcomes or tax savings. Our advice is based on information provided by clients and current tax law, which may change.

9. Force Majeure

amniotvtil shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, government actions, or other unforeseeable events.

10. Termination

Either party may terminate the service relationship with reasonable notice. Termination does not affect obligations that have already accrued or confidentiality obligations. Upon termination, clients remain responsible for payment of all services rendered and expenses incurred up to the termination date.

11. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including GDPR. By using our services, you consent to such processing as described in our Privacy Policy.

12. Governing Law

These terms are governed by and construed in accordance with Dutch law. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the Dutch courts, with venue in the District Court of Central Netherlands.

13. Dispute Resolution

We encourage clients to contact us directly to resolve any concerns. If a dispute cannot be resolved through direct communication, we may agree to mediation or arbitration as an alternative to litigation.

14. Amendments

amniotvtil reserves the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified terms.

15. Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely achieves the intended purpose.
